Acceptance of Terms
By accessing, browsing, creating an account, or using GuidanceVault ("Service"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree, you must discontinue use of the Service immediately.

Definitions
- "Service" means the GuidanceVault website, applications, systems, and related services.
- "User" means any individual or entity accessing or using the Service.
- "Content" means documents, files, data, messages, images, instructions, or information uploaded, stored, transmitted, or submitted through the Service.
- "Account" means a registered user profile used to access the Service.

Description of Service
GuidanceVault provides document storage, organization, information management, notification, and scheduled delivery features. GuidanceVault is a technology platform only and does not provide legal, financial, estate planning, fiduciary, trustee, executor, tax, or professional advisory services.

Account Responsibilities
- CREATE a STRONG password: Use 12+ characters with uppercase and lowercase letters, numbers, and symbols. Avoid names, birthdays, common words, and passwords you've used elsewhere.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities occurring under your account.
- You agree to provide accurate and current information.
- You must promptly notify us of any suspected unauthorized access to your account.

User Content & Ownership
- You retain ownership of Content you upload to the Service.
- You grant GuidanceVault a limited license to host, store, process, transmit, and display Content solely for operating and improving the Service.
- You represent that you possess all rights necessary to upload and store your Content.
- You are solely responsible for the legality, accuracy, and appropriateness of your Content.

Data Security, Storage Risks & User Responsibility
User Backup Responsibility
The Service is not intended to serve as your sole repository of important information. You are solely responsible for maintaining complete and independent backup copies of all Content uploaded to the Service.
Security Measures
GuidanceVault employs commercially reasonable administrative, technical, and organizational safeguards designed to help protect User Content. However, no security system, cloud platform, software application, network, or storage method can be guaranteed to be completely secure. You understand documents may become unavailable, corrupted, inaccessible, or permanently lost despite backups and security measures. We use automated reminders that you may recieve that make it easy to back up your data locally.
Assumption of Risk
By using the Service, you acknowledge and accept the inherent risks associated with electronic storage, cloud computing, internet communications, cybersecurity threats, and digital transmission of information.
Possible Security Incidents
Such risks may include unauthorized access, hacking, malware, ransomware, cyberattacks, data breaches, system failures, software defects, hardware failures, service interruptions, data corruption, accidental deletion, transmission failures, and third-party security incidents.
No Guarantee of Security
GuidanceVault does not warrant or guarantee that User Content will never be accessed, altered, disclosed, destroyed, corrupted, delayed, lost, or rendered unavailable.
Limitation Related to Security Events
To the fullest extent permitted by law, GuidanceVault shall not be liable for losses resulting from cyberattacks, unauthorized access, data breaches, malicious third-party acts, or security failures that occur despite commercially reasonable safeguards.

Sensitive Information Warning
Users should carefully consider whether it is necessary to upload highly sensitive information. Unless absolutely necessary, users are encouraged not to upload passwords, authentication secrets, encryption keys, payment card data, social security numbers, health records, or other highly sensitive information.
Users assume all risks associated with storing highly sensitive information through the Service.

Data Storage & Delivery
GuidanceVault makes reasonable efforts to provide storage and delivery services but does not guarantee successful, uninterrupted, complete, or timely delivery of notifications, messages, documents, emails, files, or Content.
Delivery may be impacted by third-party providers, spam filters, recipient actions, internet outages, service interruptions, technical failures, account issues, cybersecurity incidents, or other circumstances beyond our reasonable control.

Third-Party Services
The Service may rely on third-party hosting providers, cloud infrastructure providers, email providers, payment processors, analytics services, and other vendors.
GuidanceVault is not responsible for outages, interruptions, delays, data loss, security incidents, or failures attributable to third-party providers.

Acceptable Use
- Illegal activities.
- Malware distribution.
- Fraudulent conduct.
- Impersonation.
- Unauthorized access attempts.
- Interference with Service operations.
- Uploading unlawful, infringing, or harmful content.

Storage Limits & Billing
GuidanceVault may establish storage, bandwidth, account, feature, or usage limits. Additional fees may apply to usage exceeding included limits.

Termination
We reserve the right to suspend, restrict, or terminate access to the Service at any time for violations of these Terms, security concerns, legal obligations, or operational reasons.

Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDANCEVAULT DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, RELIABILITY, AND AVAILABILITY.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDANCEVAULT, ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, LOSS OF USE, SECURITY INCIDENTS, OR UNAUTHORIZED ACCESS TO DATA.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF GUIDANCEVAULT EXCEED THE GREATER OF:
- The total fees paid by you to GuidanceVault during the twelve (12) months preceding the event giving rise to the claim; or
- One Hundred U.S. Dollars ($100.00).

Indemnification
You agree to defend, indemnify, and hold harmless GuidanceVault and its affiliates, officers, employees, agents, contractors, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of:
- Your use of the Service.
- Your Content.
- Your violation of these Terms.
- Your violation of any law or third-party rights.

Force Majeure
GuidanceVault shall not be liable for delays, interruptions, failures, data loss, or inability to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, war, terrorism, cyberattacks, ransomware incidents, labor disputes, internet outages, power failures, cloud-provider failures, infrastructure failures, or telecommunications disruptions.

Dispute Resolution & Binding Arbitration
Before initiating arbitration, both parties agree to attempt to resolve disputes informally by providing written notice and allowing thirty (30) days for resolution.
Any dispute arising from or relating to the Service or these Terms shall be resolved exclusively through binding arbitration in Kansas, except for matters eligible for small claims court.
YOU WAIVE THE RIGHT TO A JURY TRIAL.
YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, CONSOLIDATED ACTION, OR MASS ARBITRATION.
Claims may only be brought on an individual basis.

Governing Law
These Terms shall be governed by and construed under the laws of the State of Kansas, without regard to conflict of law principles.

Jurisdiction & Venue
To the extent any dispute is not subject to arbitration, such dispute shall be brought exclusively in the state or federal courts located within Kansas, and each party consents to the personal jurisdiction of those courts.

Privacy & Regulatory Compliance
GuidanceVault seeks to comply with applicable privacy laws, including GDPR, CCPA, and similar regulations where applicable. Nothing in these Terms limits any non-waivable statutory rights granted to users under applicable law.

Changes to Terms
We may modify these Terms at any time. Updated Terms become effective upon posting. Continued use of the Service constitutes acceptance of the revised Terms.
